Terms and Conditions for Agent Registration

By registering as an agent with Christian du Preez T/A SuperbSite (“SuperbSite,” “we,” “us,” or “our”), you (“the Agent”) agree to the following terms and conditions. These terms govern your relationship with SuperbSite and outline the rights, responsibilities, and obligations of both parties. This agreement is subject to the laws of the Republic of South Africa, and any disputes will be resolved under the jurisdiction of South African courts.

1. Independent Agent Relationship

1.1. Non-Employment Relationship:
The Agent acknowledges and agrees that they are an independent contractor and not an employee, partner, or representative of SuperbSite. The Agent is solely responsible for their actions, and SuperbSite does not exercise control over the manner or means by which the Agent performs their duties.

1.2. No Authority to Bind SuperbSite:
The Agent has no authority to enter into contracts, incur liabilities, or make commitments on behalf of SuperbSite unless expressly authorised in writing by SuperbSite.

2. Commission Structure

2.1. Earning Commission:
The Agent will earn a commission for each website sold through their efforts, as outlined in the commission structure provided by SuperbSite. Commission payments are subject to the terms and conditions specified in the commission structure.

2.2. Payment Terms:
Commissions will be paid to the Agent within 14 days of SuperbSite receiving full payment from the client, provided the Agent has fulfilled all their obligations under this agreement. To qualify to earn a commission for a sale, the Agent must pass the Agent Assessment and be awarded full Agent Status.

3. Responsibilities of the Agent

3.1. Compliance with Laws:
The Agent agrees to comply with all applicable South African laws, including but not limited to consumer protection laws, data protection laws (such as POPIA), and any other relevant legislation.

3.2. Ethical Conduct:
The Agent agrees to conduct themselves ethically and professionally at all times. The Agent must not engage in any fraudulent, misleading, or deceptive practices.

3.3. Client Relationships:
The Agent is responsible for maintaining positive relationships with clients and ensuring that all representations made to clients are accurate and truthful.

4. Exclusion of Liability

4.1. Indemnification:
The Agent agrees to indemnify and hold harmless Christian du Preez T/A SuperbSite, its employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of or related to the Agent’s actions, omissions, or misrepresentations.

4.2. No Liability for Agent Actions:
SuperbSite shall not be liable for any actions, errors, or omissions of the Agent, including but not limited to breaches of contract, negligence, or misconduct. The Agent acknowledges that they operate independently and assume full responsibility for their actions.

5. Termination of Agreement

5.1. Termination by Either Party:
Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party.

5.2. Effect of Termination:
Upon termination, the Agent will no longer be entitled to earn commissions for new sales. Any commissions earned prior to termination will be paid in accordance with the terms of this agreement.

6. Confidentiality

6.1. Confidential Information:
The Agent agrees to maintain the confidentiality of any proprietary or confidential information disclosed by SuperbSite, including but not limited to client information, pricing structures, and business processes.

6.2. Non-Disclosure:
The Agent shall not disclose confidential information to any third party without the prior written consent of SuperbSite.

7. Amendments to Terms and Conditions

7.1. Right to Amend:
SuperbSite reserves the right to amend these terms and conditions at any time. The Agent will be notified of any changes, and continued participation as an Agent constitutes acceptance of the amended terms.

8. Governing Law and Jurisdiction

8.1. South African Law:
This agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.

8.2. Jurisdiction:
Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the South African courts.

9. Entire Agreement

9.1. Complete Understanding:
These terms and conditions constitute the entire agreement between the Agent and SuperbSite and supersede all prior agreements, understandings, or representations, whether oral or written.

10. Acceptance

By registering as an Agent, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
